Privacy Agreement

Confidential Information is defined as information (in whatever format and medium) directly or indirectly concerning your business, together with information which you designate or identify as being confidential, inclusive of email addresses, the identity of yourselves, such information that becomes accessible or apparent when the information is disclosed is combined with publicly available information such as information on your website.

It is understood and agreed to that the below discloser of confidential information is authorized to provide certain information that is and must be kept confidential. It is further understood that eePulse and the Leadership Pulse Team Pulse Project, together with all their agents, associates, companies, affiliates, other firms or companies, including, without limitation any associated business or company, any manager, director or employee, agent, contractor or consultant of any such party:

• Shall treat the confidential information disclosed by whatever means as being strictly private and confidential.
• Shall not disclose to any third party the object and scope of the discussions between the parties, except as required by law or as may be necessary to enforce the terms thereof.
• Shall not use any of the confidential information for any purpose other than for or in connection with the Leadership Pulse Team Pulse Project.
• Shall maintain all of the Confidential Information in confidence and not disclose any portion of the Confidential Information to any person or entity not authorized hereunder.
• Any dissemination of Confidential Information shall be only in connection with the Leadership Pulse Team Pulse Project, and shall be only to the employees, agents or affiliates of Contact who have a need to know said Confidential Information in order for said Contact to carry out proper purposes and responsibilities related to Contact's discussions with eePulse and the Leadership Pulse Team Pulse Project and who have been advised of the confidential nature of such information.
• Further, that Contact and eePulse (inclusive of the Leadership Pulse Team Pulse Project) shall cause such employees, agents and affiliates who have access to the Confidential Information to comply with the terms and provisions of this Agreement in the same manner as each party is bound hereby, with Contact remaining responsible for the actions and disclosures of such representatives.
• By participating in the Leadership Pulse Team Pulse Project, you acknowledge that you have read and agree to the terms in this Confidentiality Agreement.
